Vista should be able to run on that. You will just need to disable the extra junk like tony said.
On my server I have Vista Business on it and it uses 300-400MB of ram(not including the extra cache which keeps everything in the memory used recently to make it load faster, that isn't included because it is not needed and will only speed your pc up).
And I am using about 4% of my cpu with it idling(P4 2.4C). Quote:

EDIT: Also, that 300-400MB includes all the services I have running extra. I installed apache, php, mysql, svn, ftp, and a few others, so it should be less normally.
