That Power Supply would be cutting it close, at least IMO, although it should be ok for a while. I would get an OCZ 600 or 700 watter, those for sure would provide enough power.
The other RAM you picked out should be compatible, yes.
Do you plan on overclocking? If not, I would get "value RAM", it would work just as well as overclocking RAM.
