Shutdown problems

Mother
intel Pentium 4 2.26 Northwood 533MHz FSB 512KB L2 Cache Socket 478 Processor
Ram
PC CHIPS M-909G Socket 478 Intel 845GV Micro ATX Intel Motherboard
Hard Drive
A-DATA 512MB 184-Pin DDR SDRAM Unbuffered DDR 400 (PC 3200) System Memory
OS
Win XP Pro

It wont shut down.

When selecting the Shut Down option from either the Start Menu or from the Log In Screen it "restarts" ... It has done it multiple times. I havn't been able to shut it off for two days. (other than manually)
Does anyone know a possible reason? or solution?
