How to upgrade Win2K pro to Win XP Pro on Dell
What is involved in upgrading a Dell w/ Win 2000 Pro (NTFS) to Win XP Pro (NTFS).

be more specific exactly..you just want upgrade or clean install bust out some sys specs too

I don't really think there is enough difference to consider upgrading. ButI would suggest a fresh install if you want it on your system, it's the only way to avoid driver issues and other such problems.

Win 2K to Win XP
What I mean is can I use a Kill disk on the Dell (break the MBR) then repartiation the drive and go with a fresh install or is some of the bios installed on the drive from Dell. The computer is a Dimension 360 2Ghz 400FSB Rambus mem. 80GB HDD. I have tried a Optiplex GX 150 which was fatal.,

What happened that killed your optiplex? you know you can usually download a diskette to recreate BIOS information that's stored on your HD, Then install the new OS.
You shouldn't have a problem, looks like it has a standalone BIOS (at least the 2350, can't seem to find a dimension 360 on thier US site)
