ok I have a 6600GT AGP 8x and i'm thinking i need to upgrade since I'm a gamer. the real question is should I go with an AGP card and skip upgrading my MOBO when I don't need to or would I see a larger gain with a new MOBO and going PCI-e?

The other real questions are...
what are the rest of your specs, and how much do you want to spend?

If you upgrade your GPU your CPU is going to be a bottleneck if it isn't already, upgrade to PCI if you have the cash...
The best AGp card around at the moment is the Gainward Bliss 7800 GS+, loads of potential for OCing and runs the N71 Core which technically and performance wise makes it a 7900. It's the card i just got and my AMD 64 3000+ is a bottlneck for it's awsome power
What games do you want to play?

am I confused or are you? xp2200 AFAIK is not a venice core cpu so you've got an athlon xp2200+ t-bred on an old socket a board?
and you've got $300 to blow on a vid card
the most expensive agp card out is only 150-175max

What games do you want to play? | Exactly right, if you feel that your gaming experience is being affected by you current setup then i would reccomend buying a new mobo, cpu and graphics etc. Wasted: Just to clarify a typo, you mean PCI Express (PCI-E) right?
PS: I have a PCI-E 6600GT . Plays all the games i like on medium to high settings... (FEAR, SWAT4, NFSMW etc.)

since you are planning on upgrading your ram as well you might concider getting a ddr2 board and upgrading the cpu also all in 1 shot
it might take you a little longer to save up but in the end it will save you money
