You'll see some improvement, but I don't think it's worth the extra cost of the new card.
Have you tried overclocking your current 8800GTS?

yes i have tried overclocking from 513 to 630 for the clock speed then from 782 to 830 for the other forgot what it is sorry, no improvement a few fps more ive read theres a fault with 8800 320 mb that nvdia have admitted something to do with a memory flush that slows fps down radomly and when you alt tab out of game and back in fps increase. i dont think drivers are that good yet with vista even though vista been out since january |

You can check benchmarks here.
The GTX will give anywhere from 0-25 more frames per second.
If you have the money, you could always look into an 8800Ultra.
If you want a cheaper alternative, and you have an SLI motherboard with a powerful enough PSU. You could purchase a second 8800GTS. Heres some benchmarks of single GTS VS dual GTS |

yeah, I agree, save some money, if its an issue, & do a SLI setup with 2 320MB GTS's, as carl said, assuming your PSU is up to it. (its my eventual plans on my setup down the road here, already run one, but leaving my system open for running two eventually)
one review I remember reading not to far back, 2x 320MB GTS's in SLI, barely nudged out ahead of a single GTX... so you should get close to the same as one of those... but then again, it all comes down to the games, as some don't run too well with SLI, others do... |

if you mod the card yeary easy 4 scrwes and 2 zipties you can drop the temp alot .
Take the front plastic cover off and put a 92mm fan on it (doesnt have to be a tornado like mine is )

why not just water cool it then? If I was in that situation, I might be needing use of that last PCI slot though... |
