I am thinking of getting the geforce 9500gt for mid range gaming(prince of persia 4,assassins creed and nfs shift) can anyone tell me whether this is a good move.

You would be hard pushed to find someone who will say 'yes'.

Its pretty much the minimum you should go for games, but it will be at low settings.... I know NFS shift is quite demanding.... you would be far better off looking into a 9600/9800 or 4670/4830/4850 (if your PSU can handle them).

Also the rest of your system will determine whether an upgrade is 'worth it'....

I have a core 2 quad 2.33ghz,4gig ddr800 ram,450w power supply and a gigabyte g31 motherboard.

You will want to pick up a better card... without nowing what power supply you have it is difficult to suggest anything higher than a 9600 or 4670.....

Geforce GT220's are Replacing the 9500GT and at least 50% better (well at least in specs anyways, but considering the smaller process, lower heat output, less energy consumption, etc, it almost equals a good 50% better), they're actually not a bad card for the price, though spend a bit more and you can pick up a 9600GT or 9600GSO and get even better performance.
