Check what BIOS version your machine has on the MSI website and make sure the right one has been installed - I've had 2 or 3 MSI mobo with the wrong BIOS

Wait, so the first part of windows loads and it resets?

You're probably going to need to reinstall windows, or boot it in safe mode (keep tapping F8) and delete everything from the device manager, then reboot.

If you can't get as far as the safe mode screen, then you might use your install CD to do a repair installation.

this may be a long shot, but are you sure you are setting the pins on clear cmos back to normal and not on clear,

if it was a new mother board it may have bin left on clear cmos, make sure it's on pin 1and 2

it almost sounds like cmos is not saving settings

and is there jumpers on board to set the FSB? that maybe your problem,
I am running a MSI p4 board, it has jumpers for FSB
