New System won't load operating system

I've just built a new system using:
    asus p4c800 deluxe motherboard
    W.D. 160GB Hard Drive
    Intel P4 3.0 CPU (Prescott)

The machine starts up & tests fine. When I try to load WinXP Prof. things go great until 19-34 min remaining. At this point, the computer just shuts off (not restart total shut off). On reboot the instal starts at 39 min remaining goes to same point and shuts off. There is no indication of MB or CPU overheating. Any ideas?
