By the way: 1 GB DDR2-800 modules are really cheap right now. Micro Center is offering them for as little as $10 apiece.

I have that motherboard. It's quite nice, and the BIOS can be upgraded to accept the new Phenom II CPUs. But then you'd want the faster DDR2-1066 memory. Newegg has 4GB of Corsair DDR2-1066 for $74, including free shipping -- and there's a $30 mail-in rebate!

No you don't. You can turn in your 32bit key for a 64bit key. For ~$10
Info: Got 32 bit OEM by mistake? You CAN get 64 bit OEM! - Overclock.net - Overclocking.net

Karmakiller, If I already installed my 32bit, will putting in this 64bit cd act like a reinstall of the OS? AKA will I lose my data if I upgrade?

Honestly, I think you have to do a full reinstall, and you'll probably loose all your data. I haven't installed mine yet, so I can't confirm or deny.
