You may still be able to RMA the drive. Just because you are the second (or even later) owner doesn't necessarily negate the warranty. Contact the vendor, give them the model and serial number off the drive. They can tell you if it is still under warranty. You don't need to inform them how you came to acquire the drive.

So far as the drive choice, I'd get the faster drive. The Maxtor rocks. If you need more storage then that might force you to take the bigger, slower drive.
I'd rather have a small fast drive and upgrade again later when I needed more space.

thanks for the reply's....i went to the maxtor site and checked out the warranty options...i entered the required #'s and it said drive is no longer covered by warranty ... on a side note... it's been four days since i had the noise...what i have done was modded my case to vent out the top, and clocked back to normal cpu speed... was thinking perhaps my meager overclock was putting a little too much stress on a older drive.. i was running my duron at 106x10... thinking the increase in agp buss might give better performance in games....so i will run it till it dies...i'm all backed up..except for the things i have forgotten .. then i will buy a new drive...it's about time for a fresh install anyway thanks to all...
